Welcome to Flownelo.
These Terms of Service ("Terms") govern your access to and use of the Flownelo website, application, platform, software, and related services (collectively, the "Services"). By creating an account, accessing, or using the Services, you agree to these Terms.
If you are using Flownelo on behalf of an organization, you represent that you have the authority to accept these Terms on behalf of that organization, and references to "you" or "your" will include both you and that organization where applicable.
If you do not agree with these Terms, you should not access or use the Services.
1. About Flownelo
Flownelo is a business management platform designed to help organizations manage and coordinate business activities, including:
Flownelo provides software and technology infrastructure. Flownelo does not operate your business on your behalf and does not make business, financial, employment, accounting, tax, legal, manufacturing, or other professional decisions for you.
2. Eligibility and Authority
You may use the Services only if you are legally capable of entering into a binding agreement under applicable law.
If you create or manage an organization account on behalf of a business or other organization, you represent and warrant that you have the authority to bind that organization to these Terms. You are responsible for ensuring that all users accessing your organization's account are appropriately authorized.
3. Account Registration
Certain features of the Services require an account. When creating an account, you agree to provide information that is accurate and reasonably current.
You are responsible for:
✓ Maintaining accuracy of account info
✓ Maintaining confidentiality of credentials
✓ Controlling access to your account
✓ Managing users & permissions
You are also responsible for all activity occurring through your account that results from your actions, omissions, or failure to adequately protect your credentials. You should notify Flownelo promptly if you believe your account has been accessed without authorization.
4. Organization Accounts
An organization account may allow administrators to invite other users and assign roles and permissions.
The organization is responsible for determining who should have access, assigning appropriate permissions, removing access when a user is no longer authorized, ensuring users comply with these Terms, reviewing information stored in the account, and maintaining appropriate internal controls over its use of Flownelo.
Flownelo is not responsible for actions taken by users who have been granted access by the organization or who obtain access through the organization's failure to properly manage credentials.
5. Your Data
You retain your rights and interests in the business data and information that you submit to Flownelo. Subject to these Terms, Flownelo does not claim ownership of your organization's business data merely because it is stored or processed through the Services.
You grant Flownelo the limited rights necessary to host, store, process, transmit, display, and otherwise handle such information solely as reasonably necessary to provide, secure, maintain, support, and improve the Services and to comply with applicable law.
6. Responsibility for Your Data
You are responsible for the information and content that you enter, upload, import, synchronize, or otherwise submit to Flownelo. You represent that you have the necessary rights and lawful basis to provide such information.
You are responsible for ensuring that your use of the Services does not violate applicable laws, contracts, intellectual property rights, privacy rights, employment obligations, tax/regulatory requirements, or third-party rights.
7-9. Business, Financial & Operational Decisions
7. Business and Professional Decisions
Flownelo provides software tools and information-management functionality. Flownelo is not a substitute for professional legal, accounting, tax, financial, employment, compliance, medical, engineering, or other professional advice. You are solely responsible for reviewing information generated and making appropriate business decisions.
8. Financial, Accounting, Payroll & Tax
Flownelo does not guarantee that information generated through financial/payroll features will satisfy every accounting, statutory, or regulatory requirement applicable to your organization. You are responsible for verifying calculations, making filings, paying taxes, and obtaining professional advice.
9. Manufacturing & Operational Features
Manufacturing features are management tools and do not replace appropriate operational controls, engineering judgment, safety procedures, quality systems, or professional supervision. You remain responsible for determining if production plans and operations are appropriate.
10. Acceptable Use & 11. Security
You agree NOT to use the Services to:
- Violate applicable laws or regulations
- Infringe intellectual property or other rights
- Access accounts without authorization
- Circumvent authentication or access controls
- Attempt to gain unauthorized access
- Introduce malware or malicious code
- Interfere with the operation of the Services
- Conduct unauthorized security testing
- Reverse engineer source code
- Use automated methods to abuse the Services
- Distribute unlawful, fraudulent content
- Impersonate another person/organization
- Resell the Services without authorization
- Test or attack Flownelo infrastructure
Flownelo may take reasonable action where it believes the Services are being misused or these Terms are being violated.
12. Third-Party Integrations & 13. Imported Data
Flownelo may integrate with or provide connections to third-party services. When you connect a third-party service, you authorize the exchange of information necessary for the integration to function. Third-party services are independently operated. Flownelo is not responsible for their availability, security, or actions.
When data is imported or synchronized, Flownelo relies on the information provided by that external system and does not guarantee it will always be complete, accurate, or correctly formatted. You are responsible for reviewing imported information.
14. Intellectual Property & 15. Feedback
The Services, including the software, platform, interface, design, branding, and underlying technology are owned by or licensed to Flownelo and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse engineer the Services.
If you provide suggestions, feature requests, or feedback, Flownelo may use that feedback without restriction or obligation to compensate you. We will not treat feedback as confidential unless expressly agreed otherwise.
16-19. Subscriptions, Payments & Billing
16. Subscriptions and Plans
Plans differ in features, usage limits, users, and resources. Flownelo may change available plans or pricing. Material changes to paid subscriptions will include reasonable notice.
17. Payments and Billing
You are responsible for accurate billing info and paying charges when due. Failure to pay may result in restricted functionality, suspension, or termination.
18. Refunds and Cancellations
Unless expressly stated, fees already paid for a subscription period are generally non-refundable except where required by law or approved by Flownelo.
19. Free Trials & Promos
Flownelo may offer free trials subject to additional terms. Promotional offers may be modified or discontinued at any time.
20. Service Availability & 21. Changes
Flownelo aims to provide a reliable service but does not guarantee the Services will always be available, uninterrupted, secure, or error-free. The Services may occasionally be unavailable due to maintenance, infrastructure issues, cyberattacks, internet failures, or circumstances beyond reasonable control.
Flownelo may modify, improve, add, remove, or discontinue features of the Services from time to time.
22-24. Backups and Organization Deletion
Flownelo maintains backups for disaster recovery. Backups should not be treated as your sole method of maintaining business records. You are responsible for your own copies.
An authorized administrator may request deletion of their organization's account. Deletion from active systems is permanent and generally cannot be reversed. Deleted data may temporarily remain in backups and will be removed according to the backup-retention cycle. Flownelo will not ordinarily restore a deleted organization solely to provide historical backup access.
25-27. Suspension, Termination & Effects
Flownelo may suspend or restrict access where reasonably necessary to protect the Services, prevent threats, address Terms violations, or address unpaid amounts. You may stop using the Services at any time.
After termination, your right to use the Services ends. Provisions of these Terms intended to survive termination (intellectual property, disclaimers, liability limits, indemnification) will continue in effect.
28-31. Disclaimers & Limitations of Liability
28. Disclaimers: To the maximum extent permitted by applicable law, the Services are provided on an "as available" and "as is" basis. Flownelo does not guarantee the Services will produce any particular business, financial, operational, or commercial outcome, and disclaims implied warranties of merchantability and fitness for a particular purpose.
29. No Guarantee of Business Results: Using Flownelo does not guarantee increased revenue, reduced costs, compliance, accurate results, successful manufacturing, or prevention of fraud/loss.
30. Limitation of Liability: Flownelo will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business opportunities, data, or reputation arising out of these Terms.
31. Liability Cap: Flownelo's aggregate liability will not exceed the total amount actually paid by the affected organization to Flownelo during the [three/six/twelve] months preceding the event. If no fees were paid, liability is limited to [₹5,000 / another appropriate amount].
32-35. Indemnification, Force Majeure & Confidentiality
- 32. Indemnification: You agree to defend and indemnify Flownelo from claims arising from your use/misuse of the Services, violation of these Terms or applicable law, or actions taken under your account.
- 33. Force Majeure: Flownelo will not be responsible for failure or delay resulting from circumstances beyond its reasonable control (natural disasters, war, cyberattacks, internet failures, etc.).
- 34. Confidentiality: Each party should take reasonable steps to protect confidential information. Flownelo will handle organization info in accordance with its Privacy Policy.
- 35. Legal Requests: Flownelo may disclose information to comply with applicable law, legal process, or lawful governmental requests.
36-47. General Provisions
36. Electronic Comms: You agree Flownelo may communicate with you electronically.
37. Changes to Terms: Flownelo may update these Terms. Continued use constitutes acceptance.
38. Governing Law: These Terms are governed by the laws of India.
39. Dispute Resolution: Unresolved disputes are subject to the jurisdiction of courts in [City, State, India].
40. Severability: Invalid provisions will be modified to make them enforceable.
41. No Waiver: Failure to enforce a provision is not a waiver.
42. Entire Agreement: These Terms and linked policies constitute the entire agreement.
43. Assignment: You may not assign these Terms without written consent.
44. Relationship: These Terms do not create a partnership or employment relationship.
45. No 3rd-Party Beneficiaries: These Terms do not create rights for non-parties.
47. Acceptance: By creating an account or using Services, you agree to these Terms.
